1.1 These General Terms and Conditions apply to the mediation of tourist services and travel by Outbound Flights UG (haftungsbeschränkt) ("Outbound", "Otis") as the operator of the website and app https://www.outbound.flights/ and https://otis.outbound.flights/app, https://otis.travel/ (Otis). They govern the legal relationship between the customer and Outbound. By agreeing to the Terms and Conditions, the customer enters into a service contract (§§ 675 BGB) with Outbound for the mediation of tourist services. The content of this contract solely consists of the proper mediation of the tourist service through the use of the app by the customers and their employees.
1.2 This platform is exclusively intended for entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) who make bookings in the course of their commercial or independent professional activity.
1.3 By registering, the customer confirms that they are acting as an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB). The customer is obligated to provide truthful information about their entrepreneurial status during registration and to provide proof of this status upon request.
1.4 Outbound reserves the right to verify the entrepreneurial status and to deny or block access to the platform if proof is not provided.
1.5 The mediated contract, which may be a transport, service, accommodation, or travel contract, is concluded exclusively between the customer and the provider of the service (e.g., the airline or railway). The performance of the booked tourist service is not part of Outbound's contractual obligations, but rather is the sole responsibility of the service provider. The service provider provides the services and trips booked by the customer or by their employees via email or through the app. The terms and conditions of the customer's contractual partner apply to the mediated services as stated in the supplier’s T&Cs. These may regulate details such as payment, rebooking, cancellation, or other specifics. The content of the mediated contract is derived from the service provider's description of services. The customer must address any claims related to the booked service directly to the service provider.
1.6 The booking of a tourist service or trip is carried out by the customer also for all participants listed in the booking. The booking participant is liable for the contractual obligations of all participants listed, as if they were their own, if they have expressly agreed to assume this liability.
1.7 The mediated contract with the customer only comes into effect when the service provider accepts the customer's binding booking. Outbound informs the customer of the mediation and contract conclusion with the service provider via a written booking confirmation, which may also be sent electronically.
2.1 General Fee Structure
2.1.1 All customers are subject to mediation fees per booking. Business customers:
a) Receive invoices with separately listed VAT
b) Must provide a valid VAT ID during checkout
c) Must immediately notify Outbound of changes to VAT ID or business address
d) May incur additional fees and retrospective VAT charges for incorrect VAT information
e) Are subject to quarterly reverse charge VAT reporting to the Federal Central Tax Office (BZSt) as per German law
2.2 Fee Schedule
Outbound reserves the right to modify fees with advance notice via email. Current fees are:

2.4 Payment Administration and Default
2.4.1 Outbound is authorized to send invoices for fees through various communication channels, including email, SMS, WhatsApp, Telegram, the Outbound mobile and web app, or postal mail.
2.4.2 Default and Late Payment
a) Customers enter into default after receiving a payment reminder for due fees.
b) For business customers (as defined in the HGB), outstanding amounts accrue interest at a rate of 8 percentage points above the ECB's base rate.
c) Following a reminder and reasonable deadline, if fees remain unpaid, Outbound may:
2.4.3 Advanced Travel Payment
Where Outbound has advanced travel costs prior to receiving customer payment, a subsequent invoice will be issued. Customers must settle such invoices within 3 business days, failing which Outbound may:
a) Cancel upcoming travel
b) Impose late fees of €25
2.5 Fee Adjustments
Outbound reserves the right to adjust usage and mediation fees in accordance with general price developments. Customers may terminate app usage with immediate effect if increases exceed 10%. This termination right does not affect confirmed bookings.
2.6 Booking Confirmation and Customer Responsibility
2.6.1 Customers receive a booking confirmation after each successful booking. All invoices for booked and mediated services are available for viewing and download in the customer's Otis user account.
2.6.2 Customers are responsible for:
a) Reviewing all booking confirmations immediately upon receipt
b) Promptly notifying Outbound of any errors or discrepancies in the booking details
c) Ensuring the accuracy of all travel dates, times, destinations, and passenger information
2.6.3 Payment for mediated services is due as specified on the invoice unless payment was made at time of booking.
